LELANT VILLAGE HALL CONSTITUTION
The Village Hall’s Constitution is enshrined in the Scheme established by the Charity Commissioners for England & Wales, dated 9 January 1967, in accordance with the Charities Act 1960. The Scheme was amended by Order of the Charity Commissioners on 8 August 2005, in accordance with section 26 of the Charities Act 1993.
The Scheme provides that;
1.The Charity and it’s property known as Lelant Village Hall shall be managed in accordance with the Scheme as may be varied from time to time in accordance with relevant Statute or Order, by the charity trustees and approved by the Charity Commissioners.
2.The Management Committee shall, when complete, consist of 22 members, ie;
# Five Representative members, to be appointed;
-One by the Lelant Parochial Church Council
-One by the St Ives Town Council
-One by the Trencrom Ladies Club
-One by the Governing Body of the local Cof E Primary School
-One by the Committee of the Lelant Village Produce Association
# Fifteen Elected members, to be appointed at the Annual General Meeting (AGM) as hereinafter provided.
# Two co-opted members to be appointed by the Management Committee at a duly constituted Committee meeting.
3.The Elected members shall be appointed for a term of office commencing at the end of the AGM at which they were appointed and expiring at the end of the AGM in the following year.
4.The Representative members shall be appointed according to the ordinary practice of the appointing body and their names shall be notified to the Secretary of the Management Committee and shall, except in the case of such members appointed to fill casual vacancies, each be appointed for a term of office of one year.
5.The co-opted members shall each be appointed for a term of one year with effect from the date of the Committee meeting at which they were appointed.
6.Any member who is adjudged to be bankrupt or is incapacitated from acting or who communicates in writing to the Committee a wish to resign shall thereupon cease to be a member effective from the date of that meeting. All members shall retire from office at the end of the AGM after the date at which they were appointed but they may be re-elected or re-appointed.
7.The Committee shall have the power by a resolution passed at a duly constituted meeting by the votes of not less than two-thirds of the members for the time being to allow the appointment of an additional Representative member by any organisation in the area of benefit not already named in the Scheme.
8.The Constitution of the Committee may be altered in accordance with the relevant Order for the time being made by the Charities Commissioners.
9.A casual vacancy for an Elected member may be filled at a meeting of the Committee to take effect from the date of that meeting. In the case of a Representative member, notice shall be given to the organisation entitled to fill the vacancy.
10.The proceedings of the Committee shall not be invalidated by any vacancy among its members or by any failure to appoint or any defect in the appointment or qualification of a member.
11.No person shall be entitled to act as a member until they sign in the minute book a declaration of acceptance and a willingness to act in the trusts of the Scheme.
12.Except in special circumstances with the approval of the Commissioners, no member shall take or hold any interest in any property belonging to the charity otherwise than as a trustee, or receive any remuneration, or be interested in the supply of goods or works, at the cost of the charity.
13.The Management Committee shall hold at least two ordinary meetings each year. A special meeting may be summoned at any time by the Chairman or by any two members upon seven clear days notice being given to all members of the matters to be discussed.
14.At the first meeting in each year after the AGM the Committee shall elect one of its number to be Chairman of their meetings, until the commencement of the first meeting after the AGM of the following year, and may also elect a Vice-Chairman. The Chairman and Vice-Chairman shall always be eligible for re-election. If the Chairman and Vice-Chairman are absent from any meeting the members present shall choose one of their number to be chairman of the meeting before any business is transacted.
15.The Committee shall insure the said building and effects therein to the full value against fire and other usual risks arising from the ownership of the property and the employment of persons.
16.Any questions as to the construction of the Scheme or as to the regularity or validity of any acts done or about to be done under the Scheme shall be determined by the Charity Commissioners upon such application made to them.
